Terms of Use

Quick Summary

TalixTrade is trading-bot software — not an exchange, broker, or financial advisor. We never hold your funds or money; your assets stay on your own exchange, and we connect through an API key with withdrawals disabled. By using TalixTrade you accept the risks of automated crypto trading and agree to the terms below.

These Terms of Use ("Terms") are a binding agreement between you and the operator of TalixTrade. Please read them carefully before you create an account or use the platform. If you do not agree, do not use TalixTrade.

The operator is Anton Shchur, an Individual Entrepreneur (FOP) registered in Ukraine under the simplified tax system (3rd group), registry number 2011600000000040678, address Dnipro, Dnipropetrovsk Oblast, Ukraine ("we", "us", "our", "TalixTrade").

This is a draft document prepared for our internal review. It has not yet been reviewed by independent legal counsel.

Definitions

  • Platform or Service: the TalixTrade website, applications, and software tools, including the bot builder, Smart Trade, signals, backtesting, paper mode, the AI features (AI Builder, AI Risk Manager, AI Optimizer, AI Assistant), and Auto-Hedge.
  • You or User: the person who registers for and uses the Platform.
  • Exchange: a third-party crypto exchange where you hold your own account and funds (for example Binance, Bybit, or OKX).
  • API Key: the credentials you generate on your Exchange and connect to TalixTrade so the software can place orders on your behalf.
  • Subscription: a paid plan (Pro or Elite) or the free trial that grants access to Platform features for a defined period.
  • Content: text, software, designs, trademarks, and other materials we provide through the Platform.

Eligibility

To use TalixTrade, you confirm that:

  • You are at least 18 years old.
  • You have the legal capacity to enter into a binding contract.
  • You are not located in, and not a resident or national of, a fully restricted jurisdiction: North Korea (KP), Iran (IR), Syria (SY), Cuba (CU), or occupied territories such as Crimea.
  • You are not on any applicable sanctions list (for example OFAC, EU, or UN lists) and are not owned or controlled by a sanctioned party.
  • Your use of the Platform is lawful where you live, and you are responsible for complying with your local laws, including tax and trading rules.

We may refuse, suspend, or terminate access if we believe you do not meet these requirements.

Description of services and what it is NOT

TalixTrade is software. It helps you design, test, and automate crypto trading strategies that run against your own Exchange account. The Platform includes a bot builder, Smart Trade orders, trading signals, backtesting, paper (simulated) mode, AI-assisted features, and Auto-Hedge.

What TalixTrade is NOT:

  • It is not an exchange, bank, broker, custodian, or financial advisor.
  • It never holds your funds, never accepts deposits, and never withdraws assets from your Exchange account.
  • It does not provide investment, legal, tax, or financial advice. Nothing on the Platform is a recommendation to buy, sell, or hold any asset.
  • It does not guarantee any trading result, profit, or protection from loss.

Your money and crypto always remain in your own Exchange account, under your control. We connect to your Exchange only through an API Key. See the API keys section below and our API Security page.

Account registration

You must register an account to use most features. You agree to:

  • Provide accurate, current information and keep it up to date.
  • Keep your login credentials confidential and not share your account.
  • Be responsible for all activity that happens under your account.
  • Notify us promptly at [email protected] if you suspect unauthorized access.

You are responsible for the security of the device and email you use to access TalixTrade.

Subscription plans

TalixTrade offers a 30-day free trial, and two paid tiers: Pro at $39 per month and Elite at $99 per month. Full details are on the Subscription page.

How billing works today. Payments are made as one-time crypto invoices through our payment processor, CryptoCloud. You can pay in USDT over the TRC-20, BEP-20, ERC-20, TON, or SOL networks. Each successful payment grants a fixed 30-day access period.

Because crypto payments cannot be charged automatically, there is no automatic renewal today. Renewal is manual — you choose to pay again for another period. We send you a reminder before your access expires so you can decide whether to renew.

Future card billing. If we later add card-based payments (for example through Stripe), those may support automatic renewal. Any auto-renewing plan would be clearly labeled as such, and you would be told the price and renewal terms before you subscribe and could cancel before the next charge. This does not apply to the crypto invoices described above.

Prices are stated in US dollars and exclude any taxes that may apply to you. Crypto payments are generally final; refunds, if any, are handled as described on the Subscription page.

API keys

To let TalixTrade trade on your behalf, you connect an API Key from your Exchange. You agree that:

  • The API Key you connect must have withdrawal permission disabled. This is mandatory. With withdrawals off, the software can place trades but cannot move funds out of your account.
  • You may optionally restrict the API Key on your Exchange to our server IP address: 49.13.221.175.
  • You are responsible for the permissions you grant and for following your Exchange's own rules.

We protect your API Keys with AES-256-GCM encryption. The encryption key is stored in a server environment variable that is kept separate from the database, and your API Keys are never sent to the browser or frontend. For more detail, see API Security.

Acceptable use

You agree to use the Platform only for lawful purposes and in line with our Acceptable Use Policy. Among other things, you must not:

  • Break any law or any rule of your Exchange.
  • Engage in market manipulation, fraud, or money laundering.
  • Reverse-engineer, copy, scrape, or attempt to disrupt or gain unauthorized access to the Platform.
  • Use the Platform to harm others or to interfere with its security or operation.

We may suspend or terminate accounts that violate these rules.

Intellectual property

The Platform and all Content — including software, design, text, logos, and trademarks — belong to us or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purpose while your account is active. You may not copy, modify, distribute, sell, or create derivative works from the Platform except as the law allows or as we permit in writing.

Strategies and configurations you create remain yours, but you grant us the limited rights we need to operate the Service for you (for example, to run and store your bots).

Disclaimers

  • No financial advice. TalixTrade provides software tools and information only. We are not a financial advisor, and nothing on the Platform is investment, legal, or tax advice. You make your own trading decisions.
  • No profit guarantee. Crypto trading is highly risky and volatile. You can lose some or all of your funds. We do not guarantee any profit, performance, or outcome.
  • Past performance. Backtesting, simulations, paper mode, signals, and AI suggestions are based on historical or modeled data. Past performance does not predict future results.
  • AI features. AI outputs are generated automatically and may be inaccurate or incomplete. Treat them as informational only, not as advice. AI prompts for these features are processed by OpenAI; your API Keys are never sent to OpenAI.
  • Third parties. We depend on Exchanges and other providers we do not control. Outages, errors, rate limits, or rule changes on their side can affect the Service, and we are not responsible for them.
  • AS IS. The Platform is provided "as is" and "as available," without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure.

Limitation of liability

To the fullest extent permitted by law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost data, or trading losses.
  • Our total liability to you for any claim relating to the Platform is limited to the amount of your most recent subscription payment to us.
  • We are not liable for failures or delays caused by events beyond our reasonable control (force majeure), including exchange outages, network failures, cyberattacks, war, sanctions, or government action.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Risk and leverage

Automated trading carries significant risk. You are solely responsible for the strategies, leverage, and risk settings you choose. Your jurisdiction's regulator may limit the leverage available to retail traders (for example in the US, Canada, Japan, Singapore, or the UK). We may show a warning, but your Exchange enforces the actual limits, and you are responsible for trading within the rules that apply to you.

Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, losses, liabilities, and reasonable expenses (including legal fees) arising from your use of the Platform, your trading activity, your violation of these Terms, or your violation of any law or third-party right.

Termination

You may stop using the Platform and close your account at any time. We may suspend or terminate your access if you breach these Terms, create risk for us or other users, or if required by law. On termination, your license to use the Platform ends. You remain responsible for disconnecting or revoking any API Keys on your Exchange. Sections that by their nature should survive termination (such as disclaimers, limitation of liability, and indemnification) will continue to apply.

Governing law & disputes

These Terms are governed by the laws of Ukraine, without regard to conflict-of-law rules. We encourage you to contact us first at [email protected] so we can try to resolve any issue informally. For how disputes are handled, see our Dispute Resolution page.

Changes

We may update these Terms from time to time. If we make material changes, we will give you at least 30 days' notice by email before they take effect. Your continued use of the Platform after changes take effect means you accept the updated Terms. If you do not agree, you should stop using the Platform.
